DELENTA TERMS & CONDITIONS (TERMS OF SERVICE) These terms and conditions were last updated in September 2025 1. INTRODUCTION
These Terms & Conditions (“Terms”) govern your access to and use of the Delenta platform, including all associated websites, mobile applications, software, tools, and services (collectively, the “Platform” or “Services”).The Services are provided by Delenta Limited, a company incorporated in England and Wales (“Delenta”, “we”, “us”, “our”). These Terms form a legally binding agreement between Delenta and the User (“you”, “your”), whether acting in your personal capacity or on behalf of an Organisation.By creating an account, accessing, or using the Platform, you confirm that you have read and agree to be bound by these Terms. If you do not accept these Terms, you must not use the Services

Delenta provides a digital infrastructure enabling Service Providers and Organisations to manage, deliver, and administer Professional Services, including but not limited to coaching, mentoring, tutoring, training, consultancy, advisory services, facilitation, and equivalent professional or educational offerings.Delenta is not a Service Provider. We do not supply, supervise, accredit, monitor, or assume responsibility for any Professional Services delivered using the Platform.
3. DEFINITIONS
For the purposes of these Terms: Service Provider: Any User who delivers or offers to deliver Professional Services (including coaching, mentoring, tutoring, training, consulting, advisory or equivalent activities) through the Platform.
Client: Any User receiving Professional Services via the Platform, whether individually or on behalf of an Organisation.
Organisation: A corporate entity, partnership, institution, or similar body registering for multi-user access to the Platform for Professional Services or administrative purposes.
Authorised User: Any individual to whom an Organisation grants access to its account environment.
User Content: All data, text, files, session notes, assessments, videos, recordings, programme materials, messages, and other content uploaded or generated on the Platform by Users.
Third-Party Services: External applications or integrations used with the Platform, including Zoom, Microsoft Teams, Stripe, ChargeBee, Google Calendar, Outlook, Zapier, and MailerLite.
Subscription: A paid plan granting access to specified features of the Platform.
4. ELIGIBILITY
You must be at least eighteen (18) years old or, where permitted by an Organisation, under appropriate guardian or employer consent. You warrant that you have legal capacity to enter into these Terms and that all information supplied is accurate.Organisations are responsible for ensuring that their Authorised Users comply with these Terms and any internal obligations
5. ACCOUNT REGISTRATION & SECURITY
You agree to:Provide accurate and complete information when creating an account;Keep your username, password, and access credentials confidential;Not share your account or permit unauthorised access;Notify Delenta promptly of any actual or suspected misuse.
Delenta is not responsible for losses arising from the compromise of your login credentials. Organisations administering multi-user accounts bear responsibility for activities conducted by their Authorised Users
6. THE SERVICES
The Platform provides functionality supporting the management and delivery of Professional Services, including scheduling, messaging, content sharing, programme administration, payment processing, analytics, reporting, and related functions.Delenta provides technology only. We do not:Deliver Professional Services;
Supervise or assess the performance or competence of Service Providers; Validate credentials or qualifications unless expressly contracted with an Organisation; Mediate relationships between Service Providers, Clients, or Organisations; Provide advice, recommendations, assessments, or opinions. All Professional Services are delivered independently by Service Providers and Organisations
7. USER CONTENT
7.1 Ownership You retain ownership of all User Content you upload or generate on the Platform. Delenta does not claim ownership of User Content.
7.2 Licence to Delenta You grant Delenta a non-exclusive, royalty-free, worldwide licence to host, process, store, display, and transmit User Content solely to operate, support, and improve the Services.Delenta shall not disclose, sell, or commercially exploit User Content
7.3 User Warranties
You warrant that:You hold all necessary rights to upload User Content; User Content does not infringe any third-party rights; User Content is lawful and compliant with these Terms.
7.4 Session Recordings & Sensitive DataWhere sessions are recorded or where sensitive information is exchanged, the Service Provider and/or Organisation is responsible for:Obtaining appropriate consent;
Compliance with privacy, safeguarding, employment, and professional conduct laws; Managing retention, disclosure, and security of recordings. Delenta does not verify, review, or monitor User Content
8. ORGANISATIONS & CORPORATE USE
8.1 Organisational Responsibility Where the Platform is used within an Organisation, the Organisation is solely responsible for: The conduct, performance, and activities of its Service Providers, Clients, and Authorised Users;
All Professional Services delivered within its account environment; Employment, HR, safeguarding, or compliance obligations relating to Professional Services; Internal policies governing employee engagement and wellbeing.
8.2 No Employment or Agency Relationship with Delenta Service Providers engaged by Organisations including within white-label or branded environments are not employees, contractors, agents, or representatives of Delenta.Delenta has no involvement in:Recruitment, appointment, or vetting of Service Providers;
Fees, compensation, or financial arrangements; Performance management or disciplinary issues; Disputes between Organisations and their Service Providers.
8.3 Disputes Within Organisations Delenta shall not be party to any dispute concerning:Service Provider performance or conduct; Compensation, invoicing, or contractual terms between Organisations and Service Providers; Complaints raised by employees or Clients of an Organisation; Reliance on Professional Services for HR or management decisions.
8.4 Access to Organisational Data
Unless otherwise agreed:Organisations may access User Content created within their workspace; Organisations may reassign Clients between Service Providers; Authorised Users may lose access to their User Content upon leaving the Organisation.
9. PROHIBITED USES
You must not use the Platform to:Upload harmful, unlawful, offensive, defamatory, or discriminatory content; Harass, threaten, abuse, or intimidate Users; Provide unlicensed, inappropriate, unethical, or illegal Professional Services; Conduct unsolicited marketing or spamming activities; Scrape, harvest, or systematically extract Platform data; Reverse engineer, decompile, or circumvent Platform security; Introduce malware, automated bots, or harmful code; Interfere with or disrupt Platform operations; Misuse integrations, APIs, or login workflows.
Delenta may suspend or terminate access immediately for breaches
10. SUBSCRIPTIONS, PAYMENTS & FEES
10.1 Subscription Plans Access to paid features requires an active Subscription. Subscriptions renew automatically unless cancelled 10.2 Payment Processing Payments are processed by Third-Party Services. Delenta is not responsible for their performance, availability, or security 10.3 Professional Services Fees Delenta is not a party to any financial arrangement between Service Providers, Clients, or Organisations, including: Fees charged for Professional Services; Refunds or cancellations; Chargebacks or disputes; Taxes and reporting obligations.
10.4 Refunds Subscription fees are non-refundable except as required by law
11. THIRD-PARTY SERVICES Use of Third-Party Services is governed by the terms of those third parties. Delenta does not guarantee the availability, security, or performance of any integration. Users enable Third-Party Services at their own risk
12. DATA PROTECTION & SECURITY Delenta processes personal data in accordance with its Privacy Policy and applicable data protection legislation, including GDPR and UK GDPR.Delenta operates an information security framework aligned with ISO 27001:2022.Delenta acts as:Data Controller for account management, billing, analytics and marketing;
Data Processor for personal data uploaded by Service Providers, Clients, and Organisations.
Organisations remain the Data Controller for data collected from their employees and Clients
13. INTELLECTUAL PROPERTY All intellectual property in the Platform including software, code, databases, interfaces, designs, templates, algorithms, workflows, and branding belongs to Delenta.You must not:Copy, reproduce, or modify the Platform;
Create derivative works; Resell or sub-licence access; Attempt to access or extract the Platform’s source code.
14. PLATFORM PERFORMANCE & AVAILABILITY
Delenta will use reasonable endeavours to maintain the availability and performance of the Services. However, the Platform is provided “as is” and “as available”, and we do not guarantee uninterrupted or error-free operation.Scheduled maintenance or unforeseen outages may occur
15. DISCLAIMERS
To the maximum extent permitted by law:Delenta provides no warranties (express or implied) regarding the accuracy, completeness, suitability, or reliability of the Platform or any Professional Services delivered through it;
Delenta does not verify the competence, credentials, legality, or appropriateness of Service Providers or Professional Services; Delenta shall not be responsible for decisions made, actions taken, or outcomes resulting from reliance on Professional Services; Professional Services delivered via the Platform do not constitute legal, medical, therapeutic, financial, HR, or other regulated advice.
16. LIMITATION OF LIABILITY Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud.Subject to the foregoing, Delenta shall not be liable for:Indirect, incidental, special, or consequential losses;
Loss of profits, business, data, goodwill, or opportunity; Employment-related decisions, HR outcomes, or grievances; Disputes between Service Providers, Clients, Organisations, or employees; Reliance on advice, content, assessments, or analytics provided through the Platform; Performance or non-performance of Third-Party Services.
Delenta’s total aggregate liability in any twelve-month period shall not exceed the total Subscription fees paid by you to Delenta during that period
17. INDEMNITY You agree to indemnify and hold harmless Delenta, its directors, officers, employees and affiliates from and against any claims, liabilities, losses, damages, or expenses arising from or related to:Your use of the Platform;
Your Professional Services; User Content you upload; Breach of these Terms or applicable law; Disputes involving Organisations, Service Providers, Clients, or employees.
18. TERMINATION Delenta may suspend or terminate your access with immediate effect if you breach these Terms or fail to pay Subscription fees.You may terminate your Subscription at any time.Upon termination:Access to the Platform ceases;
Delenta may retain User Content for up to ninety (90) days unless otherwise required by law or by Organisational agreements;
Provisions relating to IP, liability, indemnity, confidentiality, and dispute resolution shall continue in force.
19. FORCE MAJEURE Delenta shall not be liable for delays or failures arising from events beyond its reasonable control, including network outages, industrial action, natural disasters, pandemics, or acts of terrorism or war.
20. GOVERNING LAW & JURISDICTION These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of England & Wales.The courts of England & Wales shall have exclusive jurisdiction
21. AMENDMENTS Delenta may amend these Terms from time to time. Updates will be published on the Platform. Continued use of the Services constitutes acceptance of revised Terms
22. PRECEDENCE OF ENGLISH VERSION If translated, the English version of these Terms shall prevail
